Stream real-time user feedback
This Master Services Agreement ("Agreement") is entered into by and between the Customer ("Client") and the Service Provider ("Provider") upon the Client’s successful payment and subscription checkout.
1. Services Provided
Provider grants Client access to the output of its proprietary Customer Engagement Platform ("The Platform"). The Services include the use of Provider's infrastructure to host data collection portals, route collected data into the Client's designated CRM, and execute automated engagement and outreach workflows.
2. Fees and Payment
• Subscription Fee: Client agrees to pay the recurring monthly subscription fee as presented and agreed upon at the time of checkout (the "Subscription Fee").
• Billing: The initial payment is processed upon checkout to commence the infrastructure build. Subsequent payments are billed automatically every 30 days to the payment method on file.
• Non-Payment: Provider reserves the right to suspend data pipelines, outreach campaigns, and form hosting if an invoice becomes 5 days past due. Due to the upfront technical setup required, all payments are non-refundable.
3. Intellectual Property and Infrastructure Ownership
Provider retains absolute and exclusive ownership of all infrastructure used to deliver the Services. This includes, but is not limited to, the software, form templates, community forums, API routing mechanisms, outreach methodologies, and all proprietary knowledge or trade secrets ("Provider IP"). Client is granted no ownership rights to the Provider IP, the mechanisms of data collection, or the underlying communities managed by the Provider.
4. Data Transfer and Ownership
Provider utilizes its infrastructure and outreach methods to collect data, feedback, and user insights on behalf of the Client.
• Data Transfer: Upon successful receipt of the monthly Subscription Fee, Provider transfers to Client the exclusive ownership of the specific data payloads, feedback, and insights collected for the Client during that billing cycle.
• License to Client Assets: Client grants Provider a limited, non-exclusive license to use Client's branding (logos, colors) and any provided customer lists strictly for the purpose of executing the agreed-upon outreach and data collection workflows.
5. Client Responsibilities
Client is responsible for providing the necessary access credentials, API keys, and brand assets required to configure the data pipelines. Client assumes full responsibility for how they utilize the data transferred to them and agrees to comply with all applicable local and international data privacy regulations governing their business.
6. Term and Termination
This Agreement is effective on a month-to-month basis. Client may terminate this Agreement at any time with written notice. Termination will take effect at the conclusion of the current billing cycle. Upon termination, Provider will securely disconnect all API routing and cease all data transfers to the Client.
7. Limitation of Liability
Provider shall not be held liable for any indirect, incidental, or consequential damages, including loss of data or revenue, resulting from the use of the Services or outages originating from third-party CRM or software vendors. Provider’s total liability under this Agreement is strictly limited to the total amount paid by the Client in the one (1) month preceding the claim.
8. General Provisions
Provider reserves the right to update these terms with 30 days' notice. Continued use of the Services constitutes acceptance of the updated terms.
